CHANGE IN LLP AGREEMENT

 

LLP AGREEMENT       

LLP agreement is the agreement between the partners to the LLP in which the partners mutually decide upon the amount that they agree to put into the company and the liability of the partners is limited to only the agreed amount.

 

THE REQUIREMENTS FOR FILING FORM 3 ARE:

ANY ALTERATIONS AND THE CHANGES IN THE LLP AGREEMENT IS THEN FILED IN FORM 3

  1. Partners shall agree that there is a requirement for a change in the LLP Agreement and a resolution for the change in the LLP Agreement must be signed by the partners by mutual understanding
  2. Form 3 has to be filed within 30 days of the resolution by the partners to change the LLP Agreement.  
  3. In Form 3 all the details requiring the reasons for the change has to be mentioned.
  4. The documents that have to be uploaded for the change in the LLP Agreement are:
  • The previous or the original LLP Agreement
  • The amended LLP Agreement

LLP Agreement is similar to the MOA or AOA where it defines the functioning of the company and all the required clauses that the company and the partners are bound to follow during the process of working of the LLP.
